Terms of Resistance

Welcome to ZinZuu, The People's Marketplace. By accessing or using our website, platform, or services, you agree to be bound by these Terms of Resistance (the "Terms"). If you do not agree to these Terms, do not use our services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and ZinZuu Technologies Inc. ("ZinZuu," "we," "us," or "our"), a Delaware corporation with its principal place of business at 8 The Green, Ste R, Dover, Delaware 19901.

By registering as a member, signing up as a Founding Member, or otherwise using our services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. The Mission

ZinZuu is building a community-owned marketplace that redirects wealth from Wall Street monopolies back to local communities. By joining ZinZuu, you become part of a movement to challenge corporate extraction and rebuild economic power at the grassroots level.

3. Membership

3.1 Account Registration

To access certain features of ZinZuu, you must create an account by providing accurate and complete information. You are responsible for:

· Maintaining the confidentiality of your account credentials

· All activities that occur under your account

· Notifying us immediately of any unauthorized use

3.2 Founding Members

Founding Members are early adopters who join ZinZuu during the pre-launch phase. Founding Members receive:

• Priority access to the platform beta

• 1,000 eZZ-Cash credits (Founder Rewards) upon registration

• Exclusive updates and strategic announcements

• Recognition as builders of the movement

3.3 Membership Requirements

Membership is free. There are no subscription fees or paywalls to join ZinZuu.

4. eZZ-Rewards (Founder Rewards)

4.1 Nature of Rewards

eZZ-Cash are digital credits that can be used within the ZinZuu ecosystem once the platform is live. Every 1,000 eZZ-Cash equals $1 USD in value.

4.2 Usage

eZZ-Cash may be used exclusively for:

• Product purchases on the ZinZuu marketplace

eZZ-Cash cannot be used for cash withdrawals, transfers to third parties, or purchases outside the ZinZuu platform.

4.3 Expiration

eZZ-Cash does not expire. Unlike traditional loyalty programs with expiration dates or blackout periods, your eZZ-Cash remain valid indefinitely.

4.4 Transferability

eZZ-Cash is non-transferable. You may not sell, trade, gift, or transfer your eZZ-Cash credits to any other person or account.

4.5 Forfeiture

ZinZuu reserves the right to revoke or forfeit eZZ-Cash if:

• Your account is terminated for violating these Terms

• You engage in fraudulent or abusive behavior

• You attempt to manipulate or game the rewards system

4.6 No Monetary Value Outside ZinZuu

eZZ-Cash have no cash value and cannot be redeemed for cash. They are a loyalty benefit provided by ZinZuu and may be modified or discontinued at our discretion, with reasonable notice to members.

5. Beta Access and Platform Availability

ZinZuu is currently in pre-launch development. Beta access will be provided to Founding Members on a rolling basis as the platform becomes available.

• Beta access is provided "as is" and may include bugs, errors, or incomplete features

• We make no guarantees regarding the timing or availability of beta access

• Features and functionality may change without notice during the beta period

• Your feedback during beta testing helps us improve the platform

6. User Conduct

By using ZinZuu, you agree to:

• Comply with all applicable laws and regulations

• Provide accurate and truthful information

• Respect the rights and dignity of other members

• Not engage in fraudulent, abusive, or harmful behavior

• Not attempt to hack, disrupt, or interfere with our services

• Not use our platform for illegal purposes

7. Intellectual Property

All content, features, and functionality of the ZinZuu platform—including but not limited to text, graphics, logos, software, and design—are the exclusive property of ZinZuu Technologies Inc. and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from our content without our express written permission.

8. User-Generated Content

When you participate in ZinZuu's co-creation features (Nominate, Invent, Govern), you may submit ideas, feedback, or other content ("User Content"). By submitting User Content, you grant ZinZuu a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute your submissions for the purpose of operating and improving the platform.

You represent that any User Content you submit does not violate any third-party rights and complies with these Terms.

9. Privacy

Your use of ZinZuu is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

10. Disclaimers and Limitation of Liability

10.1 "As Is" Disclaimer

ZINZUU IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZINZUU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use our services

• Unauthorized access to or alteration of your data

• Any conduct or content of any third party on the platform

• Any other matter relating to our services

IN NO EVENT SHALL ZINZUU'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO ZINZUU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZinZuu and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of our services

• Your violation of these Terms

• Your violation of any third-party rights

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

If you have a dispute with ZinZuu, you agree to first contact us at support@zinzuu.com to attempt to resolve the dispute informally.

12.2 Binding Arbitration

If we cannot resolve the dispute informally within 30 days, you agree that any dispute arising out of or relating to these Terms or your use of ZinZuu shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

• Arbitration shall be conducted in Delaware unless otherwise agreed

• The arbitrator's decision shall be final and binding

• Each party shall bear its own costs and fees unless the arbitrator determines otherwise

• You waive your right to participate in a class action lawsuit or class-wide arbitration

12.3 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of such courts.

14. Termination

We reserve the right to suspend or terminate your account and access to ZinZuu at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in conduct harmful to ZinZuu or other members.

Upon termination:

• Your right to use our services will immediately cease

• You will forfeit any unused eZZ-Cash

• Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will remain in effect

You may terminate your account at any time by contacting us at support@zinzuu.com.

15. Changes to These Terms

We may modify these Terms at any time by posting the updated Terms on our website. We will notify you of material changes via email or through a notice on our platform. Your continued use of ZinZuu after changes are posted constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using our services.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ZinZuu regarding your use of our services and supersede any prior agreements or understandings.

18. No Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or our right to enforce it in the future.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. ZinZuu may assign these Terms at any time without notice.
